I love this Idea Kenny, we don't have a lot going on to warrant a monthly GBM.. so

l make a motion to change the by-laws to read that we will have quarterly General Board Meetings along with the Exe Board Meetings.. do I have a second??

 

I'll second that motion SH and of course vote for it's passage.

 

The motion has been carried, and I vote yes to combine the two meeting for every 3 months.

 

Uh.

Didn't I say that according to the way our bylaws are written, ONLY a General membership meeting can change the bylaws. As a protection of the organization, the board can not change any rules, all by their selves. Rule / operating law changes must be made by a full vote in a full members meeting.

April first or so.

But we can vote on a "Board" rules change recommendation by the board, and put that forward to be voted on by the full membership at the quarterly membership meeting.

Bylaws changes = Member's meeting.
Not board meeting.

 

We'll just have to suffer through and suffer one more monthly board meeting in March. LOL Oh, poor us.

A good idea. But against our operating rules. (i.e. unconstitutional)

 

The motion as been disregarded until a time that suits Mr Secretary and we can make amendments to our by'laws to include that the gbm may be held in the consecutive order of the ebms.. or vise versa which ever comes first.

 

Mr Secretary doesn't wish to be an A hole, however, we do have operating rules.

The concept of NOT ALLOWING a Board of directors to CHANGE the BYLAWS is a Natural protection against Tyranny and take-over. It is a safe guard for Democracy.

Meaning that ONLY The whole group can change the constitution.

The March 2014 Meeting​

I am the Recording Secretary, Ken.

Just for the record, the church of the Good Earth March 2014 Executive board meeting was held by conference call/ telephone. around the 15th of March.

This was due to the fact that some Executives did not have Internet access and were moving their place of residence, and other members were not showing up at this website.

The meeting was a legal meeting with a majority of executives in attendance. No real business was conducted. Just tax filing discussions.

It's Time for April's Meeting

Hear Ye Hear Ye, The April 2014 general meeting is now open. :smash:

We need a general meeting.

Secretary's report:

Last month we discussed making a change to the official by-laws to have the Board meetings be changed from needing to be happening every month or 12 meeting each year, and changing that to requiring only 4 board meetings per year. These would be in the month as each quarterly General meeting would occur.

Our general meetings are not specific but should occur just after the end of a year. (End of Business for the year). Report the total of the books. Most corporations do exactly that. after Dec. 31. Meaning in between Jan 1st and Jan 15th. Fed reporting is due by the 15th.

So, after Jan 1th, April, 1th, July 1th, and Oct 1th. For General Meetings.

We would vote the have 4 Board Meetings only each year, and in the same time spans as the 4 general meetings.

That would be one vote.

A second change and a second vote would be to, at the Board's choice, merge their board meeting into being at the very same meeting as the General Meeting. One in the same meeting. This would be as an option for convenience sake, since we have so few active members.

The Norm would still be a separate meetings in the rules (2 meetings) but we could have one meeting joined together if we wished to. As an option.

As for me I vote Yes on changing the first one and vote yes on the second one.
